Terms of Service

These Terms of Service (the "Terms") are a contract between you and Forrest Holdings LLC ("FORREST," "we," "us," or "our"). They govern your use of the FORREST mobile app, the FORREST web app, the website at forrestthesocialapp.com, and every feature, content, and purchase offered through them (together, the "Service").

Please read Section 17 carefully. It requires most disputes between you and us to be resolved by individual binding arbitration, not in court, and it waives your right to a jury trial and to take part in a class action. You can opt out of arbitration within 30 days, as Section 17.8 explains.

By creating an account, and by tapping the button that says you agree, you accept these Terms, our Privacy Policy, our Community Guidelines, our Acceptable Use Policy, and the other policies linked in these Terms. If you do not agree, do not use the Service.

1. Who can use FORREST

1.1 You must be at least 18 years old to create an account or use the Service. By using the Service you confirm that you are 18 or older.

1.2 You must be able to form a binding contract, you must not be barred from using the Service under the laws of the United States, and you must not be a registered sex offender or have been convicted of a felony involving violence, sexual misconduct, or crimes against children.

1.3 You may have only one account. You may not create an account if we have previously removed you from the Service, unless we give you written permission.

1.4 The Service is offered only in the United States.

2. Your account

2.1 You sign in with your mobile phone number and a one-time passcode. You are responsible for keeping your phone and account secure and for everything that happens under your account.

2.2 You agree to give accurate information, including your real first name and true date of birth, and to keep it current.

2.3 Tell us right away at support@forrestthesocialapp.com if you believe someone else has accessed your account.

2.4 Your account is personal to you. You may not sell, transfer, share, or let anyone else use it.

3. How FORREST works

3.1 Your vibe. To take part in vibe-based discovery and matching, you create a vibe by submitting a selfie, an activity photo, a white space entry, and a voice sample. With your explicit consent, we use third-party AI services to analyze your selfie and voice sample and produce a vibe label, description, and scores. Your vibe expires after a set period, and you can refresh it. The AI and Vibe Analysis Notice and the Biometric Data Policy explain how this works.

3.2 Vibes are for fun and connection. Your vibe is an automated, subjective description of the energy in the inputs you provided at one moment in time. It is not a statement of fact about your personality, and it is not a medical, psychological, or professional assessment. Compatibility scores and recommendations are suggestions, not promises.

3.3 Discovery and location. The Service uses your device location, with your permission, to show you people nearby and to show them an approximate distance to you. Other members see your city and state and a distance band, not your exact location. See our Location Data Notice.

3.4 Identity verification. We may offer or require identity verification through a third-party provider before you can use some features, such as sending messages. A verified badge means that a person passed an automated check of a government ID and a live selfie at a point in time. It does not mean we vouch for that person. 3.5 Changes to the Service. We may add, change, or remove features. If we remove a paid feature you have already bought and not used, we will tell you how you can get a refund through the app store you used or through us.

4. Your safety

4.1 We do not run background checks. We do not screen members for criminal history, and we cannot confirm that anyone is who they say they are. Identity verification, age checks, and moderation reduce risk but do not remove it.

4.2 You are responsible for your interactions. You are solely responsible for your interactions with other members, online and in person. Read our Safety Tips and Meeting Disclaimer before meeting anyone. Meet in public, tell a friend where you are going, and never send money to someone you met on FORREST.

4.3 Report problems. If someone makes you feel unsafe, block and report them in the app. If you are in danger, call 911 first.

5. Your content

5.1 You own your content. "Your Content" means everything you submit to the Service, including your profile, photos, vibe inputs, voice clips, posts, comments, and messages. You keep ownership of Your Content.

5.2 License to us. You grant FORREST a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt (for example, to resize or compress media), display, and distribute Your Content, only to operate, secure, and improve the Service and to show Your Content to the members you choose to share it with. This license ends when Your Content is deleted from the Service, except for copies that other members have already received (such as messages), copies we must keep under Section 8 of the Privacy Policy, and reasonable backup copies until they are overwritten. We will not use your photos, voice, or vibe inputs in advertising or marketing without your separate written permission.

5.3 Your promises about Your Content. You promise that you own or have permission to use Your Content, that Your Content does not break the law or anyone's rights, and that any person shown or heard in Your Content has agreed to it being shared.

5.4 We may remove content. We may review, restrict, or remove any content, and take action on any account, that we believe breaks these Terms or our policies, or that creates risk for FORREST, our members, or others. Our Content Moderation and Enforcement Policy explains how we decide and how you can appeal.

5.5 Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.

6. Rules of conduct

You agree to follow our Community Guidelines and Acceptable Use Policy. In short, you will not: harass, threaten, or harm anyone; post sexual content involving minors or any content that exploits children; post nudity or sexually explicit content; impersonate anyone; misrepresent your age; solicit money or run scams; promote or sell illegal goods or commercial sex; use the Service for commercial purposes without our permission; scrape, reverse engineer, or interfere with the Service; or create fake or automated accounts.

7. Purchases and subscriptions

7.1 Some features cost money, including Premium subscriptions, vibe refreshes, video post credits, and Direct Vibe messages. All purchases are made in the mobile apps and processed by Apple or Google under their terms, and they handle billing, receipts, and refunds. The web app and website do not sell anything.

7.2 Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time in your Apple or Google account settings, and cancellation takes effect at the end of the current period.

7.3 Our Subscription, Purchase, and Refund Terms are part of these Terms and give the full details, including prices, renewal, cancellation, and refunds.

8. Intellectual property and license to use the app

8.1 The Service, including its software, design, text, graphics, the FORREST name and logos, and the vibe system, belongs to FORREST and its licensors and is protected by law. Apart from Your Content, you may not copy, modify, or distribute any part of the Service without our written permission.

8.2 Your license to download and use the mobile app is set out in our End User License Agreement, which forms part of these Terms.

8.3 We respect copyright. If you believe content on FORREST infringes your copyright, follow our Copyright and DMCA Policy. We terminate the accounts of repeat infringers.

9. Third-party services

The Service uses third-party services, such as app stores, maps, identity verification, and AI providers. Your use of Apple's App Store or Google Play is governed by their terms. We are not responsible for third-party websites or services that the Service links to.

10. Ending your account

10.1 You can leave at any time. Delete your account in Settings, Account, Delete Account, or at https://forrestthesocialapp.com/legal/delete-account. Deleting your account does not cancel an app store subscription. Cancel it in your Apple or Google account settings as well.

10.2 We may suspend or end your account if we reasonably believe you broke these Terms or our policies, broke the law, or created risk or legal exposure for us or others, or if we stop offering the Service. Where it is safe and lawful, we will tell you why and how to appeal. If we end your account for a reason other than your breach, we will provide a pro rata refund of any prepaid, unused subscription period and unused paid credits, where the app store rules allow us to.

10.3 Sections 5.2 (for copies described there), 5.5, 8, 11, 12, 13, 14, 17, 18, and 19 survive the end of your account.

11. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, FORREST disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the Service will be uninterrupted, secure, or error free, that you will find a match, or that any vibe, score, or recommendation is accurate. We are not responsible for the conduct, online or offline, of any member. Some states do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of liability

To the fullest extent the law allows, FORREST and its members, managers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or related to the Service or these Terms, even if we were told such damages were possible.

To the fullest extent the law allows, our total liability for all claims arising out of or related to the Service or these Terms is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

These limits do not apply to liability that cannot be limited by law, including liability for our gross negligence, willful misconduct, or fraud, or for death or personal injury caused by our negligence. Some states do not allow these limits, so they may not apply to you.

13. Indemnity

You agree to defend, indemnify, and hold harmless FORREST and its members, managers, officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) brought by a third party that arise from Your Content, your breach of these Terms, or your violation of any law or the rights of any person, except to the extent caused by our own wrongful conduct. We will tell you about the claim and let you take part in the defense at your expense.

14. Release

To the fullest extent the law allows, you release FORREST from claims arising out of disputes between you and other members, including claims about their conduct on or off the Service. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." This release does not cover claims about our own conduct.

15. Changes to these Terms

We may update these Terms. For material changes, we will notify you in the app or by another reasonable method at least 30 days before they take effect, except where a change is required by law or needed to address a safety risk, in which case it may take effect sooner. We will ask you to accept material changes in the app. If you do not accept them, you may stop using the Service and delete your account before they take effect, and the version you last accepted will continue to apply to any dispute that arose before the change. Changes to Section 17 will not apply to any dispute you already filed with us or of which we already had notice.

16. Informal dispute resolution

Before starting arbitration or a court case, you and we each agree to try to resolve the dispute informally. The party with a claim must send a written notice describing the claim, the relief requested, and the sender's name, phone number on the account, and contact information. Send notices to FORREST at legal@forrestthesocialapp.com and 79 El Dorado Drive, Little Rock, AR 72212. We will send notices to the phone number or email on your account. The parties will meet and confer by phone or video within 60 days. Neither party may start arbitration until 60 days after the notice is received, and the limitation period is paused during this time.

17. Arbitration agreement and class action waiver

17.1 Agreement to arbitrate. Except as stated in Section 17.3, you and FORREST agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration. This includes Disputes about the scope or enforceability of this agreement to arbitrate, which the arbitrator will decide, except as stated in Section 17.5.

17.2 Rules and administrator. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs this Section 17. The arbitration will take place by video or phone, or in person in the county where you live if you choose. If your claim is for US$10,000 or less, it will be decided on written submissions unless the arbitrator decides a hearing is needed.

17.3 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) ask a court for an injunction to stop infringement or misuse of intellectual property. Claims about child sexual abuse material and claims that the law does not allow to be arbitrated are also excluded. This Section 17 also does not require arbitration of any dispute that relates to a sexual assault or sexual harassment dispute that you choose to bring in court under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, 9 U.S.C. §§ 401 to 402.

17.4 Costs. We will pay all AAA filing, administration, and arbitrator fees for any arbitration you start, except that you pay the lesser of the AAA consumer filing fee or the fee to file a civil case in the court where you live. Each party pays its own attorneys' fees unless the law or the arbitrator's award provides otherwise.

17.5 Class action waiver. You and FORREST may bring claims against each other only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not combine more than one person's claims and may award relief only to the individual party seeking it. If this Section 17.5 is found unenforceable for a particular claim, that claim must be decided in court, not arbitration, and only a court may decide whether this Section 17.5 is enforceable.

17.6 Mass filings. If 25 or more similar demands are filed by or with the help of the same law firm or group, the AAA's Mass Arbitration Supplementary Rules apply. Nothing in this Section delays the administration of any demand, and the parties will cooperate so that demands proceed concurrently.

17.7 Jury waiver. If a Dispute goes to court for any reason, you and FORREST both waive the right to a jury trial, to the extent the law allows.

17.8 Your right to opt out. You may opt out of this arbitration agreement by emailing legal@forrestthesocialapp.com within 30 days after you first accept these Terms, with the subject "Arbitration Opt-Out" and your name and the phone number on your account. Opting out does not affect any other part of these Terms.

17.9 Severability. Except as stated in Section 17.5, if any part of this Section 17 is found unenforceable, the rest of it still applies.

18. Governing law and venue

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict of laws rules, and by the Federal Arbitration Act for Section 17. Any Dispute not subject to arbitration will be brought only in the state or federal courts located in Pulaski County, Arkansas, and you and we consent to their jurisdiction, except that you may bring a small claims case in the county where you live. This section does not take away any protection you have under the consumer protection laws of the state where you live.

19. General terms

19.1 Entire agreement. These Terms and the policies they link to are the whole agreement between you and FORREST about the Service.

19.2 Order of precedence. If these Terms conflict with a policy linked from them, these Terms control, except that the End User License Agreement controls on the license to the app software, the Subscription, Purchase, and Refund Terms control on purchases, and the Biometric Data Policy controls on biometric information.

19.3 Assignment. You may not transfer these Terms. We may transfer them in connection with a merger, acquisition, or sale of assets, subject to the Privacy Policy.

19.4 No waiver; severability. If we do not enforce a provision, that is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent needed and the rest will remain in effect.

19.5 Electronic communications. You agree that we may send notices and disclosures electronically, and that your electronic acceptance of these Terms and any consent in the app has the same effect as a signed writing.

19.6 App stores. If you downloaded the app from Apple's App Store or Google Play, the store-specific terms in our End User License Agreement also apply.

19.7 Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
